ClinGate Public Release Evidence Snapshot — B2B Terms

1. Seller and business-only eligibility
The seller is Kian Shoaie Nia, the Canadian
individual verified by the payment provider. ClinGate by Pr3ventive is the
service presentation and is not a separate legal entity.

The buyer represents that it is a legal entity or a person acting wholly for a
business or professional purpose. This offer is not intended for consumers.
Availability is determined for the buyer’s exact country before a private
checkout is shared. ClinGate may decline or refund an order when current tax,
invoice, sanctions, payment-provider, or serviceability requirements are
missing, stale, restricted, or unsupported.
2. Order, price, and formation
One order buys one PUBLIC-SNAPSHOT-1.0 for:
- one publicly available iOS app;
- one current public release;
- one English App Store storefront; and
- public App Store and publicly linked web surfaces only.
The price is $599 USD excluding applicable taxes. Where Stripe presents a
supported local currency, checkout shows the amount and conversion before
payment. The purchase is one-time, with quantity fixed at one and no
subscription, renewal, saved-payment permission, success fee, or annual
commitment. The initial offer is capped at three paid orders.
The checkout record identifies the accepted terms and privacy versions. An
order is accepted only after checkout is complete, payment is paid and
sufficiently settled, the public App Store URL passes qualification, and
ClinGate accepts the defined scope. “Sufficiently settled” means the provider
reports the payment paid and no longer processing. A pending, failed, reversed,
disputed, duplicate, or otherwise unsettled transaction does not start work.
If payment was collected for an order that cannot be accepted, the refund
terms below apply.
3. Buyer-supplied information
The buyer supplies only business and billing details, a supported tax
identifier where applicable, one fulfillment email, and one public
https://apps.apple.com/ URL.
Do not provide attachments, free-form private evidence, source code, app
binaries, credentials, account access, private exports, screenshots,
confidential material, protected health information, patient data, or
unnecessary third-party personal data. ClinGate may isolate and delete
prohibited material without reviewing it.
4. Delivery
Subject to acceptance, delivery is within three business days after payment is
paid and sufficiently settled. Delivery is asynchronous and written. No
meeting, call, certification, or professional consultation is included.
The packet contains HTML, Markdown, JSON, and an unsigned SHA-256 manifest. It
organizes dated public observations, contradictions, unknowns, owner questions,
coverage, and limitations. Delivery is complete when the verified packet is
made available through the transaction-only channel.
5. Factual corrections and changed scope
The buyer has five business days after delivery to report a factual
transcription, mapping, or generation error. ClinGate will verify a valid
factual defect and issue a linked superseding packet without charge.
A changed public page, new app version, different storefront, expanded scope,
new evidence source, changed interpretation, or dissatisfaction without a
factual defect is not a correction and is not included in the order.
6. Cancellation and refunds
- A full refund is available when the buyer cancels before work begins.
- A full refund is provided when the submitted URL is invalid or unsupported,
the transaction is a duplicate, or ClinGate cannot accept or deliver the
defined service. - After work begins, the section 5 correction process is the remedy for a
factual defect. There is no refund solely for dissatisfaction, changed
public material, or requested scope expansion. - Approved refunds return through the original payment method. Stripe controls
bank and card-network settlement timing. - Suspected fraud, chargeback, sanctions concern, payment reversal, or legal
hold pauses fulfillment while the transaction is reviewed.
These terms do not exclude any right that applicable law does not permit the
parties to exclude. The separate
refund and cancellation policy
forms part of these terms.
7. Privacy and intellectual property
ClinGate uses only the submitted transaction fields and public app or web
material described in the
privacy notice.
Each party retains its pre-existing intellectual property. The buyer receives
a non-exclusive right to use the delivered packet for its internal release
work. The seller may retain only de-identified methods, schemas, and
non-customer code needed to operate the service; customer-identifying material
follows the published privacy and retention boundary.
8. Informational scope and non-reliance
The snapshot organizes public evidence. It does not inspect or verify source
code, binaries, builds, SDK behavior, runtime data use, security,
accessibility support, legal compliance, clinical validity, medical-device
status, certification, or App Store approval. Absence of a public disclosure
is not proof that a capability, risk, or obligation is absent. The buyer
remains responsible for its claims, declarations, releases, and professional
decisions.
9. Warranties and liability
Subject to mandatory law, the seller will perform the defined service with
reasonable care. No guarantee is made about completeness, fitness for a
particular purpose, compliance, certification, business outcome, or store
approval.
To the extent permitted by law, neither party is liable under this order for
indirect, consequential, special, or lost-profit damages. The seller’s
aggregate liability arising from one order is limited to the fees actually
paid for that order.
10. Governing law, interruptions, and changes
These terms and the order are governed by the applicable laws of Canada and
the province or territory in which the seller is ordinarily resident when the
order is accepted, without excluding mandatory law that applies to the buyer.
The parties submit disputes arising from the order to the courts with
jurisdiction in that province or territory.
Neither party is liable for delay caused by events reasonably beyond its
control. If such an event prevents ClinGate from delivering the accepted
scope, the cancellation and refund policy still applies.
The version accepted at checkout governs that order. A later change does not
retroactively alter an accepted order. Material changes receive a new version,
effective date, and public record.
